Terms & Conditions and End-User License Agreement

Welcome to KeepForest! These Terms & Conditions, including the End-User License Agreement below (together, the «Agreement»), govern your use of the website keepforest.com and keep-forest.com (the «Site») and of all products and services offered on it. By accessing the Site, creating an account, placing an order, downloading or installing any KeepForest product — including free products — you agree to be bound by this Agreement. If you do not agree, do not use the Site or the products.

The Site is operated by KEEPFOREST, S.L.U., a company incorporated in the Principality of Andorra and entered in the Registre de Societats del Govern d'Andorra under number 22.518, tax number (NRT) L-717595-L, with its registered office at Carrer Pradassos 5, Ed. Bloc 3, Pis 3-4a, AD300 Llorts, Principality of Andorra («KeepForest», «we», «us»).

1. Definitions

«CONTENT» means all sound-based products provided by KeepForest or by third-party brands distributed through the Site, including Kontakt libraries, virtual instruments, audio loops, sample packs, presets, MIDI files, stem files, sound effects and software, in whole and in part.

«PRODUCTION» means an original work produced by you that incorporates the CONTENT in a transformed, combined or synchronised form — for example a musical composition, film or game score, trailer, podcast, broadcast, advertisement, interactive or multimedia work.

2. Grant of License

In consideration of the license fee you paid (and for our free download packs), KeepForest grants you a non-exclusive «MEDIA LICENSE». The MEDIA LICENSE is granted to a single user only. If you need multi-seat use, a network installation, or any use not covered here, contact us first — special arrangements may be made on a case-by-case basis.

The MEDIA LICENSE is granted worldwide and is unlimited in time. The CONTENT is licensed, not sold. All rights not expressly granted remain with KeepForest and its licensors.

The MEDIA LICENSE includes:

1. Mechanical rights — the right to re-record, duplicate and release the CONTENT as part of your PRODUCTION in whatever medium you choose (video tape, film, CD-ROM, DVD, digital formats). This does not include the right to resell the CONTENT as a standalone product, in whole or in part.

2. Synchronization rights — the right to use the CONTENT as a soundtrack synchronised with visual images or sounds as part of your PRODUCTION.

3. Public performance and broadcast rights — the right to use the CONTENT as part of the public viewing or broadcast of your PRODUCTION, including but not limited to videos, DVDs, websites, podcasts, multimedia presentations, films, television and radio.

3. Restrictions

The use of the CONTENT (in particular samples, instruments and presets) for the creation of a sound library, sample library, sample-based product or other musical instrument is strictly prohibited. Individual samples, stems, sound sets or audio loops may not be distributed (commercially or otherwise) standalone, and the CONTENT may not be repackaged in whole or in part as audio samples, sound libraries or sound effects.

This license is non-transferable and expressly forbids resale. You may not install the CONTENT on a network server without obtaining a Network license for each workstation served. In addition, you may not:

a. copy the CONTENT (except one backup copy on a second computer owned and used by you), disclose, publish, export, distribute, rent, lease or sublicense it;

b. remove any KeepForest trademarks or copyright notices from the CONTENT;

c. modify, translate or create derivative works based on the CONTENT, other than PRODUCTIONS permitted by the MEDIA LICENSE;

d. use the CONTENT in a computer-based services business or publicly display its visual output;

e. transmit the CONTENT by audio, digital or other electronic means, or post it on any file-sharing site.

This license strictly prohibits the unauthorized incorporation of the CONTENT into any library (such as a sample instrument, a sound-effects library, stem files, or a production music company's SFX toolkit), online or offline, without our explicit written permission. You may not redistribute the CONTENT in any way — including selling, trading, sharing, resampling, mixing, processing, isolating or embedding into software or hardware — for the purpose of re-recording or reproducing it as part of any commercial or free library of musical or sound-effect samples, or any system or device for playing back such samples.

Use of any part of the CONTENT on the motionarray.com platform is strictly prohibited.

Use of a free edition of the products or their parts for commercial purposes is strictly prohibited. Free editions may be used for non-commercial purposes only.

4. Artificial intelligence and machine learning

The CONTENT may not be used for AI in any form without a separate written permission obtained from KeepForest in advance. In particular, you may not use the CONTENT, nor any musical work, sound recording, track, stem, composition, production, derivative work or other audio material created in whole or in part with the CONTENT, for:

a. training, fine-tuning, developing, testing, validating or operating any artificial intelligence system, machine-learning model, neural network or generative model (audio, music, speech or any other modality);

b. creating, compiling or contributing to any dataset, corpus or embedding intended for, or usable in, machine learning, including through scraping, feature extraction, audio fingerprinting or statistical analysis of the CONTENT;

c. any synthetic re-creation of the CONTENT, including timbre transfer, style transfer or voice/instrument cloning based on the CONTENT.

This prohibition applies equally to paid and free products, to every part of the CONTENT however small, and to material otherwise licensed for use in PRODUCTIONS. Each intended AI use requires its own separate request to KeepForest and its own separate written agreement; no other provision of this Agreement grants any AI-related right by implication. This section survives any termination of this Agreement.

5. Use of stem files

The MEDIA LICENSE grants you the right to use elements from our stem files in your PRODUCTION, as long as they are deeply edited and cut up so that they are not recognizable from the original. The use of entire stem files from a single composition is not allowed, as this would violate the intellectual property of the original creators and fail to properly credit and compensate their work. We encourage you to get creative with our stem files and use them as inspiration for your own compositions — always deeply edited, always transformed into something truly original.

6. Accounts, purchases and payment

Orders on the Site are processed by our authorized reseller and merchant of record, FastSpring, which handles payment, applicable VAT and sales taxes, and payment data. We do not store your credit-card or payment details on our servers. Your account retains the history of your purchases and provides access to your downloads; keep your credentials confidential — actions taken under your account are deemed yours.

7. Refund policy

All purchases are final and non-refundable. We are unable to accept returns on downloaded products. In rare cases we may make exceptions to this policy at our discretion; contact support with your order number.

8. Intellectual property

The CONTENT, the Site and all related trademarks, product names and artwork are the property of KeepForest or its licensors and are protected by copyright and other intellectual-property laws. Third-party brands distributed through the Site remain the property of their respective owners and may carry additional license terms shown on the product page; where they do, those terms apply to that product alongside this Agreement.

9. Warranty disclaimer and limitation of liability

The CONTENT and the Site are provided «as is» without warranties of any kind, express or implied, including fitness for a particular purpose. To the maximum extent permitted by law, KeepForest's total liability arising out of or related to this Agreement shall not exceed the amount you paid for the specific product giving rise to the claim, and KeepForest shall not be liable for any indirect, incidental or consequential damages. Nothing in this Agreement limits liability that cannot be limited under applicable law, nor the statutory rights of consumers where such rights apply.

10. Termination

This Agreement remains in effect until terminated. You may terminate it at any time by destroying all copies of the CONTENT in your possession or control. KeepForest may terminate it if you breach any of its terms. Upon termination you must destroy all copies of the CONTENT in your possession or control. Sections 3, 4, 8, 9 and 11 survive termination.

11. Governing law and jurisdiction

This Agreement is governed by the laws of the Principality of Andorra. Any dispute arising out of or in connection with this Agreement shall be submitted to the competent courts of the Principality of Andorra, without prejudice to mandatory consumer-protection rules of the country of your habitual residence where such rules apply.

12. Changes to these terms

We may update this Agreement from time to time. The version published on the Site at the moment of your order applies to that order. Continued use of the Site after an update constitutes acceptance of the updated Agreement.
